9. Prescribed Permitted Use, License Framework, and Maximum Risk Shielding

A. Strict Prescribed Permitted Use (PDPL & GDPR Compliance Scope)

Access to SynapSci data, market intelligence, and platform tools is licensed strictly and exclusively for Prescribed Permitted Use. Prescribed Permitted Use is defined strictly as:

• Conducting internal preliminary evaluation, scientific research profiling, academic collaboration analysis, or B2B market intelligence assessment; and
• Conducting direct, lawful B2B communications strictly in compliance with all applicable privacy, anti-spam, consent, and opt-out laws (including the UAE PDPL, UK GDPR, and EU GDPR).

Any use of platform data outside this explicit Prescribed Permitted Use—including unsolicited mass direct marketing, consumer targeting, unauthorized data re-selling, scraping, or processing without a valid statutory basis—is strictly prohibited.

B. Automatic Exclusion of Scope & Material Breach

Any processing, export, communication, or deployment of platform data outside the defined Prescribed Permitted Use falls completely outside SynapSci’s and VantEdge Max FZE LLC’s corporate scope, authorization, and operational intent.

If a licensee processes or utilizes platform data beyond the Prescribed Permitted Use:

• Such processing constitutes an immediate, non-curable material breach of the license agreement with immediate termination exercised;
• The licensee acts entirely on its own ultra vires initiative as an unapproved third party;
• SynapSci and VantEdge Max FZE LLC disclaim all association with, knowledge of, or control over such unauthorized processing, completely insulating SynapSci and VantEdge Max FZE LLC from any legal liability, fine, penalty, or regulatory exposure.

C. Independent Data Controller Status & Downstream Responsibility

Under applicable data protection laws (including the UAE PDPL, UK GDPR, and EU GDPR), the licensee acts as a legally separate, sole, and independent data controller for all downstream processing activities. Once data is accessed or exported, the licensee assumes sole, exclusive legal responsibility for ensuring that any subsequent outreach, marketing, sales communications, research collaboration, or storage strictly complies with all applicable privacy laws in their target jurisdiction.

D. Client Indemnification and Hold Harmless

To the maximum extent permitted by law, the licensee shall fully defend, indemnify, and hold completely harmless SynapSci, VantEdge Max FZE LLC, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including full legal fees and regulatory fines) arising out of or relating to:

• Any processing, outreach, or activity conducted outside the defined Prescribed Permitted Use;
• Any breach of the license agreement or applicable data protection regulations by the licensee, its representatives, or downstream recipients;
• Any third-party claim, data subject complaint, or regulatory enforcement action resulting from communications, marketing, or outreach initiated by the licensee using platform data.

E. Absolute Limitation of Liability and “As-Is” Disclaimer

• Warranty Disclaimer: The platform, services, and all aggregated data are provided strictly on an “AS IS” and “AS AVAILABLE” basis without warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise (including, but not limited to, implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement).
• Exclusion of Consequential Damages: Under no circumstances shall SynapSci or VantEdge Max FZE LLC be liable to the licensee or any third party for any indirect, incidental, consequential, special, punitive, exemplary, or statutory damages, or for any loss of profits, revenue, data, business goodwill, or commercial opportunities, regardless of the theory of liability (whether in contract, tort, negligence, strict liability, or otherwise), even if advised of the possibility of such damages.
• Cap on Monetary Liability: SynapSci’s total aggregate liability arising out of or in connection with the platform, services, data, or this agreement shall under no circumstances exceed the lesser of: (a) the total subscription fees actually paid by the client to SynapSci in the twelve (12) months immediately preceding the event giving rise to liability, or (b) AED 1,000 (or equivalent local currency).

F. Sole Remedy and Severability

If the licensee is dissatisfied with the platform, services, or any data provided, the licensee’s sole and exclusive remedy is to cease using the platform and cancel their subscription. If any provision of this Section 9 is held invalid or unenforceable by a court of competent jurisdiction, all remaining disclaimers, waivers, and limitations shall remain in full legal force and effect to the maximum extent permitted by law.
