Terms & Conditions

These Terms and Conditions (“Terms”) govern your organization's access to and use of the SynapSci SaaS platform, underlying databases, and associated lead generation services. By creating an account, signing in, executing an order form, or accessing the service, you agree to be bound by these Terms.

1. The Agreement and Exclusive Revocable License

These terms are between SynapSci (operated under VantEdge Max FZE LLC) (“SynapSci”, “we”, “us”, or “our”) and the organization that holds or accesses the account (“you”, “Customer”). If you accept these terms on behalf of an organization, company, or legal entity, you confirm and warrant that you possess full legal authority to bind that entity.

Subject to your strict and continuous compliance with these terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the SynapSci platform solely for your internal business lead generation and market research operations within the Gulf Cooperation Council (GCC) region.

We reserve the absolute right to revoke, modify, suspend, or terminate this license at any time, for any reason or no reason, with or without cause, and without prior notice or financial liability. Where you have signed a separate written order form or master agreement with VantEdge Max FZE LLC, that document prevails over these terms strictly to the extent of any direct conflict.

2. Accounts, Seats and Users

• Account Creation: Accounts are established by us upon request or subscription execution. Each account is assigned an account owner who holds administrative authority to allocate user seats and manage platform permissions up to the designated tier limit.
• Credential Security: Log-in credentials and access keys are strictly personal to authorized individual users. User credentials must not be shared, pooled, or transferred across multiple individuals. You assume full legal and financial responsibility for all activities, actions, and data transactions conducted under your account credentials.
• Compromise Notification: You must notify us immediately in writing at legal@synap-sci.com if you suspect or become aware of any unauthorized access, credential compromise, or security breach.
• User Conduct: The account owner remains fully responsible for the compliance and conduct of every user added to the account, including the prompt revocation of access for departed employees or contractors.

3. Plans, Credits, Keys and 1-Week Evaluation Trials

SynapSci meters and controls system utilization through a dual-balance mechanism comprised of Credits and Keys:

• Credits: Spent on revealing a researcher’s verified email address. Credits are consumed strictly upon delivering a valid email address verified through our proprietary multi-step pipeline (combining initial location checks and third-party mail server deliverability verification). No credit is deducted for risky, incorrect, or deliverability-failed email addresses.
• Keys: Spent on viewing and unlocking researcher profiles. One Key admits access to one unique researcher profile new to your account. Profile re-views by any user on your team draw zero additional Keys. Keys are consumed upon profile retrieval regardless of email availability or validity status.
• Built-in Human Review Allowance: We provide a complementary human research and address-correction review handled by our support team, capped at up to 50% of your account’s active monthly credit allowance.
• 1-Week Evaluation Trials: We may offer a 1-week evaluation trial with restricted credit and key balances solely for platform testing. Evaluation trials do not auto-convert to paid recurring subscriptions; trial access automatically terminates upon expiration unless formal commercial agreements are manually executed.
• Balance Restrictions: Balances do not automatically roll over unless specified in an order form. Unused credits and keys are non-refundable, hold zero cash value, and cannot be transferred between customer accounts.

4. Fees, Manual Invoicing and Payment Terms

Commercial subscriptions, invoicing schedules, and fee structures operate under the following parameters:

• Payment Structure: Subscriptions are processed manually on an annual commitment basis, with structured monthly credit allocations or custom delivery schedules as defined in your order form.
• Invoicing and Taxes: Invoices are payable within thirty (30) calendar days of the invoice date. All fees are exclusive of Value Added Tax (VAT) and any local tax liabilities, which are your sole responsibility.
• Invoice Dispute Window: If you dispute any portion of an invoice, you must provide written notification within fourteen (14) calendar days of the invoice date, detailing the basis of the dispute. Failure to object within fourteen days renders the invoice final, unassailable, and binding.
• Overdue Invoices: We reserve the right to immediately suspend access to accounts with invoices overdue by more than fourteen (14) days following written notification. Paid fees are non-refundable.

5. Acceptable Use and Third-Party Scraping Restrictions

You shall not, and shall not permit any third party or authorized user to:

• Resell, sublicense, republish, mirror, scrape, bulk-export, or redistribute data obtained from SynapSci, or use it to build, train, or supplement any competing dataset, software, or commercial product.
• Use the platform or extracted data to transmit unsolicited bulk emails, spam, automated marketing blasts, or communications in violation of regional or international anti-spam legislation.
• Utilize researcher data to harass, defame, discriminate against, profile, or conduct unlawful surveillance on any individual.
• Circumvent platform limits or utilize automated tools, spiders, or scraping scripts to extract information outside features explicitly provided by us.
• Claim liability against or seek indemnification from SynapSci or VantEdge Max FZE LLC if institutional target sources, academic databases, or third-party web targets block, throttle, or restrict our automated data discovery mechanisms. We bear zero liability and make no performance guarantees regarding data availability during upstream target blockades.
• Share individual user seats, bypass metering structures, or reverse engineer, decompile, or attempt to extract underlying software code or database schema.

6. Your Legal Obligations When Contacting Researchers

SynapSci provides technical lead intelligence and contact data; it does not dispatch email communications on your behalf nor guarantee the lawfulness of your specific marketing outreach. All legal, compliance, and regulatory risk associated with contact activity rests entirely with you.

When contacting any researcher or institutional contact obtained from the platform, you act as an independent data controller and must ensure:

• A valid, legal basis for outreach under applicable GCC privacy laws (including UAE Federal Decree-Law No. 45 of 2021) and international data protection standards.
• Clear identification of your organizational identity and commercial purpose within every communication.
• Inclusion of an immediate, functioning opt-out mechanism, and strict, immediate honoring of unsubscribes.
• Maintaining independent audit trails and records of legal consent or legitimate interest where required by law.
• Refraining from contacting individuals who have expressed an opt-out preference to you or requested suppression from our platform. If a researcher requests removal, you must purge all local exports of their details.

7. Data Accuracy, Validation and Disclaimer of Outcome

Academic and institutional contact details are highly dynamic, subject to frequent personnel shifts, address retirements, and institutional migrations. Researcher data is compiled via automated discovery, public registry indexing, and algorithmic enrichment.

We supply data strictly on an “as is”, “as available”, and purely discretionary basis. We express no warranties that contact details are current, complete, deliverable, or that sent communications will reach the recipient mailbox. Verification indicators and confidence scores are indicative system signals, not commercial guarantees.

Credit deductions occur strictly for valid email addresses as defined by our validation pipeline. Any disputed deductions remain subject to review within your account’s built-in monthly human review cap.

8. External Tools and Third-Party Integrations

The platform may interface with or contain links to third-party verification software, external APIs, CRMs, or institutional repositories. We exert no control over third-party infrastructure.

SynapSci and VantEdge Max FZE LLC disclaim all liability for any system failures, data corruption, delivery delays, downtime, API changes, or service interruptions caused by third-party external tools or integrations. Your interaction with third-party software is governed solely by those respective third-party agreements.

9. Customer Data Ownership, Processing and Retention

You retain ownership of the proprietary lists, custom notes, saved search parameters, and project files uploaded into your SynapSci account. You grant us a worldwide, royalty-free, non-exclusive license to host, process, and transmit your customer data solely to deliver platform functionality.

Data Retention Policy: Following trial expiration or subscription termination, customer data and saved lists will be retained for one (1) month without notice. If an account remains inactive or unrenewed, data may be permanently purged after three (3) months following written notice.

Personal data processing activities are detailed in our Privacy Policy, which is incorporated into these terms by reference.

10. Intellectual Property Rights and Database Protection

The platform, source code, visual interface, user interaction models, search algorithms, metadata taxonomy, database architecture, and corporate branding remain the exclusive intellectual property of VantEdge Max FZE LLC.

Nothing contained herein grants you any right, title, or ownership in or to the platform or underlying databases. You explicitly acknowledge that our compiled database represents a valuable trade secret and proprietary asset. Any unauthorized extraction, systematic caching, or commercial exploitation outside authorized account boundaries constitutes immediate IP theft and a material contract breach.

11. Service Availability, Modifications and Support

While we endeavor to maintain high service availability, we do not guarantee uninterrupted or error-free system access. We reserve the absolute right to modify, suspend, update, or discontinue any feature, search filter, data source, or system module temporarily or permanently without liability or prior individual notice.

Technical customer support is provided via email during standard GCC business hours (Sunday through Thursday, 9:00 AM to 6:00 PM GST).

12. Immediate Suspension and Contract Termination

• Termination for Convenience: Either party may terminate a subscription at the end of the active term by providing thirty (30) calendar days prior written notice.
• Immediate Termination & Suspension: We reserve the absolute right to suspend or terminate your account and revoke your license immediately, without prior notice or refund, if: (a) you breach any provision of these terms; (b) your invoices are overdue; (c) your account activity poses a security risk or threatens infrastructure stability; or (d) at our sole operational discretion.
• Effect of Termination: Upon termination, your right to access the platform ceases immediately. Unused credits and keys expire instantly without refund or cash compensation.

13. Comprehensive Warranty Disclaimer and Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, DATA, AND ALL ASSOCIATED SERVICES ARE PROVIDED ENTIRELY ON AN “AS IS”, “AS AVAILABLE”, AND “WITH ALL FAULTS” BASIS. SYNAPSCI AND VANTEDGE MAX FZE LLC EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

IN NO EVENT SHALL SYNAPSCI, VANTEDGE MAX FZE LLC, OR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.

OUR TOTAL AGGREGATE FINANCIAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE PLATFORM SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY YOU TO VANTEDGE MAX FZE LLC IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE BEAR ZERO LIABILITY FOR UPSTREAM INSTITUTIONAL BLOCKING, DATA INACCURACIES, THIRD-PARTY INTEGRATION FAILURES, OR YOUR OUTREACH CAMPAIGN RESULTS.

14. Absolute User Culpability and Full Legal Indemnity

You assume full, sole, and unreserved culpability, legal risk, and exposure for your account activity, data processing operations, researcher communications, and compliance with anti-spam laws.

You agree to fully defend, indemnify, and hold harmless SynapSci, VantEdge Max FZE LLC, its parent entities, affiliates, officers, directors, employees, and legal agents from and against any and all claims, lawsuits, regulatory fines, penalties, damages, liabilities, costs, and legal expenses (including attorney fees) arising from or related to: (a) your breach of these terms; (b) your violation of applicable data privacy, marketing, or anti-spam regulations; (c) your outreach communications or commercial interactions with researchers; or (d) any customer data or lists uploaded into the platform.

15. Unilateral Right to Revise Terms at Any Time

We reserve the absolute right to amend, update, replace, or revise these terms and conditions at any time at our sole discretion. Revised terms become effective immediately upon posting on the platform or notifying account owners.

Your continued access to or use of SynapSci following any term revision constitutes your complete and binding acceptance of the updated terms. You are responsible for reviewing these terms periodically.

16. Governing Law, Exclusive Jurisdiction and Regional Scope

These terms and any disputes, claims, or non-contractual obligations arising out of or connected with them shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai.

The courts of Dubai, UAE shall have exclusive jurisdiction to settle any dispute or legal claim arising from or related to this agreement. The platform is intended strictly for commercial entities operating within the GCC region.
