Terms & Conditions
These terms govern your organisation's use of the SynapSci platform. By creating an account, signing in, or using the service, you agree to them.
1. The agreement
These terms are between [COMPANY LEGAL NAME] (“SynapSci”, “we”) and the organisation that holds the account (“you”, “Customer”). If you accept these terms on behalf of an organisation, you confirm you are authorised to bind it.
Where you have signed a separate order form or written agreement with us, that document prevails over these terms to the extent they conflict.
2. Accounts, seats and users
- Accounts are created by us on request. Each account has an owner who can add users up to the number of seats on the plan, and set what each user may do.
- Log-in credentials are personal. Users must not share them, and you are responsible for activity under your account.
- You must tell us promptly if you believe an account has been compromised.
- The account owner is responsible for the conduct of every user they add, and for removing users who leave the organisation.
3. Plans, credits and Keys
SynapSci meters usage with two separate balances:
- Credits are spent on revealing a researcher’s email address, and on requests for our team to find or correct one by hand.
- Keys are spent on viewing researchers. One Key admits one researcher who is new to your account. A researcher already in your account is free to view again, from any search, by any user on your team.
Both balances are allocated to your account by us and distributed among your users by the account owner. Unless your order form says otherwise: balances do not renew automatically, unused balances are not refundable and carry no cash value, and balances are tied to your account and cannot be transferred between accounts.
Where our team supplies a corrected email address at your request, we charge only if we actually provide a different address. If we confirm that the address you already had is correct, no charge is made.
4. Fees and payment
- Fees are those set out in your order form or on our pricing page at the time you subscribe.
- Invoices are payable within [e.g. 30 days] of the invoice date.
- Fees are exclusive of VAT and any other applicable taxes, which you are responsible for.
- We may suspend access to accounts with invoices overdue by more than [e.g. 14 days], after written notice.
- Except where these terms or the law say otherwise, fees paid are non-refundable.
5. Acceptable use
You must not, and must not allow anyone else to:
- Resell, sublicense, republish or otherwise redistribute data obtained from SynapSci, or use it to build a competing dataset or product.
- Use the platform to send unsolicited bulk email, spam, or any communication that breaches anti-spam or marketing law.
- Use the data to harass, defame, discriminate against, or profile any individual.
- Scrape, spider, or use automated means to extract data other than through features we provide.
- Share a single seat between multiple people, or circumvent seat, credit or Key limits.
- Attempt to gain unauthorised access to the platform, other customers’ accounts, or our infrastructure.
- Reverse engineer the platform, except to the extent that restriction is prohibited by law.
6. Your obligations when contacting researchers
When you contact a researcher using data from SynapSci, you act as an independent data controller for that contact. You are responsible for:
- Having a lawful basis for the contact under the data protection and anti-spam law that applies to you and to the recipient — including the GDPR, the UK GDPR, PECR, CAN-SPAM, CASL or any local equivalent.
- Identifying yourself and your organisation honestly in your message.
- Offering a working way to opt out, and honouring opt-outs promptly.
- Keeping your own record of consent or legitimate interest where the law requires it.
- Not contacting anyone who has told you, or told us, that they do not wish to be contacted.
If a researcher asks us to remove them, we will remove them from our database. You must also delete any copy of their details you have exported or stored.
7. Data accuracy — what we do and do not promise
Researcher data is assembled from public sources and automated discovery, with a human review step available on request. Academic contact details change constantly: people move institution, addresses are retired, and public records go out of date.
We therefore provide data on an “as is” basis. We do not warrant that any address is current, correct, deliverable, or that a message sent to it will arrive. Verification statuses and confidence scores shown in the platform are indicative signals, not guarantees. You should treat them as such and validate before relying on them for anything important.
Credits and Keys are spent on the work of searching and retrieving, not on a guaranteed outcome. If you believe an address we supplied is wrong, flag it in the platform and our team will review it.
8. Your data
You keep ownership of the content you put into SynapSci — your projects, saved searches, notes and uploaded lists. You grant us a licence to host and process it solely to provide the service to you.
Our handling of personal data is described in our Privacy Policy, which forms part of these terms. Where we process personal data on your behalf, we do so as your processor and [a data processing agreement is available on request / is attached as Schedule 1].
9. Intellectual property
The platform, its software, design and branding remain our property. We grant you a non-exclusive, non-transferable right to use it during your subscription, for your own internal business purposes, in line with these terms. Nothing here transfers ownership of the platform or of any underlying database to you.
10. Availability and support
We aim to keep SynapSci available at all times but do not guarantee uninterrupted service. We may take the platform down for maintenance, and will give reasonable notice where we can. Parts of the service depend on third-party sources and APIs that may themselves be unavailable or rate-limited. Support is provided [e.g. by email, Sunday–Thursday, 9am–6pm GST, with a target first response within one business day].
11. Suspension and termination
- Either party may terminate at the end of the current subscription term by giving [e.g. 30 days] written notice.
- We may suspend or terminate immediately if you materially breach these terms — in particular section 5 or 6 — or if your invoices are seriously overdue.
- On termination your access ends. You may request an export of your data within [e.g. 30 days] of termination, after which we may delete it.
- Unused credits and Keys expire on termination and are not refunded.
12. Liability
Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, business, goodwill or anticipated savings. Our total aggregate liability arising out of or in connection with this agreement is limited to the fees you paid us in the [e.g. 12 months] before the event giving rise to the claim.
We are not liable for any loss arising from your reliance on the accuracy of researcher data, or from how you choose to contact anyone using it.
13. Indemnity
You will indemnify us against claims, damages and reasonable costs arising from your use of the platform in breach of these terms, and in particular from outreach you send that breaches data protection or anti-spam law.
14. Changes to the service or these terms
We develop the platform continuously and may add, change or withdraw features. We will not materially reduce the core functionality of a plan you are paying for during your term without notice. If we change these terms materially we will notify account owners by email at least [e.g. 30 days] in advance; continuing to use the service after that means you accept the new terms.
15. Governing law
These terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction over any dispute.
